How to change your business address with New York State.
New York keeps more than one address for your company. The address where the State mails legal papers (service of process) and your registered agent change only with a Certificate of Change: $30 (LLC form DOS-1359, corporation form DOS-1556). A corporation’s principal executive office and CEO address are updated on its Biennial Statement. The State does not accept a service-of-process change on a Biennial Statement. New York accepts this filing only by mail or fax, so we no longer file it — the official form, fee and address are below; we file Biennial Statements, certified copies and new companies online, usually the same day.
Last verified against the NY Department of State: October 8, 2026. We are a private filing service, not the State.
First: which address are you changing?
This is where most people go wrong. The State’s record has separate address fields, and each one changes a different way.

How to file a Certificate of Change, step by step
Find your exact name, DOS ID and filing date
The name and the date your Articles of Organization or Certificate of Incorporation were filed must exactly match the State’s records. Look them up free with our DOS ID lookup.
Download the right form
LLC: DOS-1359. Corporation: DOS-1556. Company from another state: DOS-1362 (LLC) or DOS-1557 (corporation). Links are in the table above.
Fill in only what is changing
Tick the items you are changing (service of process address, registered agent, email for service notices, or LLC county) and give the new information. A street address is needed for a registered agent.
Sign it
An LLC’s form is signed by a member, manager or authorized person. A corporation’s form is signed by an officer, director or authorized person. Print the signer’s name and title.
Send it to the Department of State with $30
By mail to the Division of Corporations, One Commerce Plaza, 99 Washington Avenue, Albany, NY 12231, or by email with a card authorization, as the form’s instructions describe. Keep a copy of what you sent.
Check the record
Once filed, the new address appears on the State’s public record. Look it up again in our DOS ID lookup or on the State’s database.
Mistakes that get a filing rejected
- Company name or filing date that does not match the State’s record exactly.
- Trying to change the service-of-process address on a Biennial Statement.
- Using the corporation form for an LLC (or the other way round).
- A P.O. box where a registered agent’s street address is required.
- Forgetting other agencies: the State’s record does not update the IRS, NYS Tax, your bank or your licenses. Each needs its own change.
Other places to update after you move
Changing the address with the Department of State does not change it anywhere else.
- IRS: Form 8822-B (change of address or responsible party for a business).
- NYS Department of Taxation and Finance: update your business address in your Business Online Services account.
- Bank, insurance, licenses and permits, including USDOT/MCS-150 if you are a motor carrier.
Questions, answered.
How much does it cost to change a business address in New York?
The State fee for a Certificate of Change is $30 for an LLC or a corporation. A registered agent changing its own address files a Certificate of Change by agent for $5.
Can I change my LLC address on the Biennial Statement?
Not the address for service of process. The Department of State says that address may not be amended in a Biennial Statement Amendment; you file a Certificate of Change ($30) instead.
What is the address for service of process?
It is the address where the Department of State forwards legal papers, such as a lawsuit, served on your company through the Secretary of State. If it is out of date, you may never see a lawsuit filed against your business.
How does a corporation update its principal office or CEO address?
Through its Biennial Statement. A Biennial Statement amendment may be filed only to change the CEO’s name and address and the principal executive office address.
Can I file a Certificate of Change online?
The Department of State lists mail and email for this form. Send it to the Division of Corporations in Albany, or by email with a credit card authorization, as the instructions on the form explain.
Do I need to tell the IRS separately?
Yes. The State’s record is separate from the IRS. The IRS uses Form 8822-B for a business address change.
Need something we file online?
Biennial Statement $49 / $79 · certified copy of your formation document or filed Biennial Statement $109 · new LLC or corporation $349. Ordered online, usually the same day.
