New York Certificate of Status (Certificate of Good Standing).
A Certificate of Status, also called a Certificate of Good Standing or Certificate of Existence, is the Department of State’s official proof that your corporation or LLC exists. The fee is $25. It cannot be ordered online or by phone: request it by mail or email. Optional rush handling costs $25 (within 24 hours), $75 (same day) or $150 (within 2 hours). The certificate is returned by first-class mail. New York accepts this filing only by mail or fax, so we no longer file it — the official form, fee and address are below; we file Biennial Statements, certified copies and new companies online, usually the same day.
Last verified against the NY Department of State: October 8, 2026. We are a private filing service, not the State.
When you need one
- Opening a bank account or applying for a loan in the company’s name.
- Registering in another state: most states ask a New York company for a certificate of good standing from its home state.
- Selling the business, signing a lease or a large contract, when the other side wants proof the company exists.
- Licenses and government contracts.
