New York LLC publication requirement: your deadline, the steps, and what it costs.
Every new New York LLC must publish a notice about its formation in two newspapers chosen by the County Clerk of the county where the LLC’s office is located (one daily, one weekly), once a week for six weeks in a row, and then file a Certificate of Publication with the Department of State ($50 State fee, with both newspapers’ affidavits attached). All of this must be done within 120 days after the Articles of Organization take effect. If it isn’t, the LLC’s authority to do business in New York is suspended until it is fixed. Look up your LLC below to see your exact deadline and a draft of your notice.

The six steps, in order
This is the whole process from the day your LLC is approved to the day the State records your publication. Six weeks of printing plus paperwork — plan on about two months, well inside the 120 days if you start in the first month.
Confirm your county
The county is the one named in your Articles of Organization as the location of the LLC’s office — not where you live or where you work. The lookup above shows the county on file.
Get the County Clerk’s two newspapers
The County Clerk designates the papers you may use: one daily and one weekly. Some counties post the list online (see below); for the rest, call the County Clerk’s office. A paper that isn’t designated doesn’t count.
Ask both papers for a price and send the notice
Each newspaper sets its own rate and usually prepares the notice text itself. Check it contains everything the law requires (list below) and that the name and filing date match the State record exactly.
Publication runs six weeks
Each paper prints the notice once a week for six weeks in a row. Nothing for you to do but pay the invoices.
Collect two Affidavits of Publication
When the six weeks end, each newspaper mails or emails you a sworn affidavit that the notice ran. You need both originals.
File the Certificate of Publication
Complete the Department of State’s Certificate of Publication, attach both affidavits, and mail it with the $50 fee. Once filed, the State record shows it in the LLC’s filing history.
What the published notice must say
NY LLC Law §206(a) lists what the notice has to contain. The tool above drafts it from the State record; use it to check the newspaper’s version.
| Required item | Where it comes from |
|---|---|
| The LLC’s name | Exactly as on the Articles of Organization |
| The date the Articles were filed with the Department of State | Your filing receipt / the State record |
| The county where the LLC’s office is located | The Articles |
| The street address of the principal business location, if there is one | The Articles (if you listed one) |
| That the Secretary of State is the agent for service of process, and the address where the State mails a copy | The Articles |
| The registered agent’s name and address, if the LLC has one | The Articles (most small LLCs have none) |
| A specific date the LLC dissolves, if one was set | The Articles (usually none) |
| The character or purpose of the business | Usually “any lawful activity” |

What publication costs
There are two separate costs.
$50 Certificate of Publication fee
Paid to the NYS Department of State when you file the certificate. Optional expedited handling costs extra ($25, $75 or $150 depending on speed). DOS fee page
Two newspaper bills
Each designated newspaper sets its own price, so cost depends on your county and which of its designated papers you pick. New York City counties are generally the most expensive; many upstate counties cost far less. We only quote prices we have confirmed with the newspaper — ask us for a current quote for your county.
Why no price table? Newspaper rates change and aren’t published by any government office. A number we can’t source would be a guess, and a wrong guess costs you money. Compare the two papers the Clerk gives you — prices between papers in the same county can differ a lot.
Filing the Certificate of Publication
| Form | Certificate of Publication for a Domestic Limited Liability Company — official form and instructions (dos.ny.gov). Professional service LLCs (PLLCs) and foreign LLCs have their own versions on the same site. |
|---|---|
| Attach | The affidavit of publication from each of the two newspapers |
| State fee | $50 (plus optional expedite fee) |
| How to file | By mail to: NYS Department of State, Division of Corporations, One Commerce Plaza, 99 Washington Avenue, Albany, NY 12231 — or by email to dosCorpfiling@dos.ny.gov. The Division says it accepts filings by email or mail and no longer accepts faxes. |
| Payment | Cash, check, money order, MasterCard, Visa or American Express (per DOS). To pay by card by mail, include the DOS Credit Card/Debit Card Authorization form. |
| Must match | The LLC name and the Articles’ filing date must match the Department of State’s records exactly, or the certificate is rejected. |
| Check it was recorded | Search your LLC on the DOS Public Inquiry site and open Filing History; a CERTIFICATE OF PUBLICATION entry appears once processed. |
Missed the 120 days? What actually happens
Authority is suspended
Under §206, if proof of publication isn’t filed within 120 days, the LLC’s authority to carry on, conduct or transact business in New York is suspended.
The LLC still exists
The law says the suspension does not make the LLC’s contracts invalid and does not take away the members’ limited liability. The LLC is not dissolved.
Fixed by filing
Publish the same way and file the Certificate of Publication late. When the certificate is filed, the suspension is annulled. Section 206 does not list a separate late penalty.
If you are opening a bank account, signing a lease, applying for a license or suing someone, a suspended LLC can create delays — publish early rather than at the end of the window.
Where to get your county’s newspaper list
Only the County Clerk designates papers. These counties publish their list online (checked September 22, 2026). For every other county, call the County Clerk’s office and ask for the designated LLC publication newspapers.
| County | Official list |

New York City (New York, Kings, Queens, Bronx and Richmond counties): the County Clerks do not post a list we could verify online — call the County Clerk of the county in your Articles.
Who has to publish
New York LLCs
Every domestic LLC formed in New York, including single-member LLCs and LLCs owned by people outside New York.
PLLCs and foreign LLCs
Professional service LLCs and out-of-state LLCs authorized to do business in New York have their own publication rules and their own Certificate of Publication forms on dos.ny.gov.
Exceptions
The Department of State notes an exemption for certain theatrical production companies (Arts and Cultural Affairs Law §23.03). LLCs formed before the 2006 amendment to §206 follow different transition rules.
Questions people ask
Can I choose any newspaper?
No. Only newspapers designated by the County Clerk of the county in your Articles count — one daily and one weekly. A notice in any other paper does not satisfy §206.
Does the 120 days count from filing or from approval?
From the date the Articles of Organization take effect. For most LLCs that is the filing date shown on the State record. If your Articles set a later effective date, count from that date — tick the box in the tool.
Can I file the Certificate of Publication online?
The Department of State’s instructions for the domestic LLC certificate describe filing by mail to Albany, and the Division’s current notice says filings may also be emailed. Check the official page for the current method before sending.
Can I lower the cost by moving the LLC’s office county?
The county is set by your Articles and must be where the LLC’s office really is. Changing it later takes a separate filing with the Department of State and its own fee, and publication must still follow the rules for the county in your Articles. Decide the county before you form.
How do I know if my LLC already published?
Search the LLC on the DOS Public Inquiry site and open Filing History. A CERTIFICATE OF PUBLICATION entry means it was recorded.
Does NY Biennial Filings do the publication?
We don’t mark up or resell newspaper ads. With every LLC we form we send the County Clerk’s newspapers, the notice text and the certificate form, and we can get you current quotes from both papers.
