The one thing every NY LLC must still do: publication.
New York LLC Law §206 requires a new LLC to publish a notice in two newspapers designated by the county clerk of the county in its Articles, once a week for six weeks, within 120 days of formation, then file a Certificate of Publication with the State ($50 State fee). Newspaper costs vary by county — roughly $300 to $1,500, with New York County the most expensive and upstate counties the least.
We do not resell publication and do not mark it up. When your LLC is approved we send you the two designated newspapers for your county, the exact notice text, and the Certificate of Publication form, so you can arrange it directly or ask us for a quote. Missing publication does not dissolve the LLC, but the State suspends its authority to sue in New York courts until it is done.
Questions people ask before forming a New York LLC
How much does it cost to form an LLC in New York?
The New York Department of State charges a $200 filing fee for Articles of Organization. With NY Biennial Filings the total is $349 all-in, which includes that $200 State fee, filing within one business day, the EIN, the operating agreement and your Biennial Statement reminder. Publication (required within 120 days) is a separate newspaper cost that no formation service can waive.
How fast is a New York LLC approved?
We file online within one business day of your order. The Department of State normally approves online Articles of Organization the same day or the next business day, and the stamped filing receipt with your DOS ID is emailed to you as soon as it issues.
Can I get an EIN without a Social Security number?
Yes. The IRS issues EINs to LLC owners without an SSN or ITIN through Form SS-4 submitted by fax or mail. We prepare and fax the SS-4 for you as part of the $349; the IRS usually responds in one to three weeks. Owners with an SSN or ITIN get the EIN the same day the LLC is approved.
Does a New York LLC need a registered agent?
No. In New York the Secretary of State is automatically the LLC’s agent for service of process, and the Articles list an address where the State forwards legal papers. A separate paid registered agent is optional, which is why we do not charge for one.
How do I know if my LLC name is available in New York?
Type it in the name engine on this page. It queries the State’s live entity register (the same data behind the Department of State’s Corporation and Business Entity Database) and tells you immediately whether the name is taken, too similar to an existing one, or looks available. New York requires the name to be “distinguishable” from existing entities and to end in LLC, L.L.C. or Limited Liability Company; certain words like bank, insurance, attorney or school need consent from a State agency. The Department of State makes the final decision at filing.
What is the Biennial Statement and why do you mention it?
Every New York LLC must file a Biennial Statement with the Department of State every two years, in the calendar month it was formed, for a $9 State fee. New York mails no reminder (at most one email at the start of the filing month, if an address is on file). We are a Biennial Statement filing service, so we record your date at formation and contact you before the window opens. Filing it through us costs $49 or $79 depending on the service level.
