How to file a DBA in New York (Certificate of Assumed Name).
A New York LLC or corporation files a Certificate of Assumed Name (form DOS-1338) with the Department of State before doing business under the new name. The State fee is $25. Corporations also pay a county fee for each county where they use the name: $25 per county, or $100 per county for New York, Kings, Queens, Bronx and Richmond. LLCs pay no county fee. A sole proprietor or general partnership files with the county clerk instead. New York accepts this filing only by mail or fax, so we no longer file it — the official form, fee and address are below; we file Biennial Statements, certified copies and new companies online, usually the same day.
Last verified against the NY Department of State: October 8, 2026. We are a private filing service, not the State.

How to file, step by step
Check your exact company name and DOS ID
The real name of the LLC or corporation must match the State record exactly. Use our DOS ID lookup.
Decide the assumed name and the counties
List every county where you will do business under the name, and each business location that will use it. For a corporation, each county adds a county fee.
Fill in DOS-1338
You need: the company’s exact name and where it was formed, the assumed name, the principal place of business (a street address, not a P.O. box), the counties, the business location addresses, and the signer (officer, member, manager or attorney-in-fact).
Pay the State fee and any county fees
$25 to the Department of State, plus county fees for a corporation. The Department of State accepts check, money order or card (MasterCard, Visa, American Express).
Send it before you use the name
Mail it to the Department of State, Division of Corporations, One Commerce Plaza, 99 Washington Avenue, Albany, NY 12231 (the LLC form can also go by email). File it before you trade under the name.
Use the filing receipt with your bank
Banks usually ask for the filed certificate before they open an account or accept checks in the new name.
Mistakes to avoid
- Company name not matching the State’s record exactly.
- A P.O. box as the principal place of business.
- Leaving out a county or a business location where the name is used.
- Corporations forgetting the county fees ($100 for each NYC county).
- Thinking a DBA protects the name. It does not.
- A sole proprietor filing with the Department of State. Sole proprietors file with the county clerk.
Questions, answered.
How much does a DBA cost in New York?
For an LLC, $25 to the Department of State, with no county fee. For a corporation, $25 plus a county fee for each county where the name is used: $25 per county, or $100 per county for New York, Kings, Queens, Bronx and Richmond.
How much is a DBA for a corporation in Brooklyn?
Brooklyn is Kings County, one of the five $100 counties. A corporation using the name only in Brooklyn pays $25 to the State plus $100 county fee, $125 in total.
Where does a sole proprietor file a DBA in New York?
With the county clerk of each county where the business is conducted, not with the Department of State. Fees are set by each county.
Does a DBA give me the rights to the name?
No. A Certificate of Assumed Name lets your company do business under that name; it does not reserve the name or give exclusive rights to it.
Can I file a DBA online?
The Department of State lists mail for the corporation form, and mail or email for the LLC form. Send it to the Division of Corporations in Albany.
How do I change or cancel a DBA?
File an Amended Certificate of Assumed Name (DOS-1626, $25) to change it, or a Certificate of Discontinuance of Assumed Name (DOS-1625, $25) to stop using it.
