If you own a New York LLC, the State requires you to file a Biennial Statement with the Department of State once every two years. It keeps your LLC in good standing — and unlike a tax return, it's required whether or not your LLC made any money.

What an LLC actually has to provide

Filing for an LLC is simpler than for a corporation. You need ① your exact legal LLC name as registered, ② your DOS ID numberlook it up free here — and ③ the service-of-process address, where the State mails legal notices. An LLC does not list its members or managers on the Biennial Statement, so there's nothing to disclose about ownership.

When your LLC is due

Your filing window is the calendar month your LLC was formed, every two years. An LLC formed in March files every other March. The State does not send a reminder by default, which is the single most common reason LLCs slip into past-due status.

What it costs

The New York State fee for an LLC is $9, paid by card on the State's e-Statement system. If you'd rather not deal with the portal, our done-for-you service is $79 flat with the $9 included — we look up your DOS ID, confirm your due month, file it, and email your official confirmation within 24 hours.

Filing an LLC vs. a corporation

The process is similar, but a corporation must also list its CEO's name and principal business address — an LLC doesn't. If you run a corporation instead, see our corporation Biennial Statement guide. Prefer the full walkthrough? Read how to file a NY Biennial Statement.
